These Terms and Conditions ("Terms") govern your access to and use of the Auroli mobile application, website, and related services (collectively, the "Service") provided by Auroli Inc. ("Auroli," "we," "us," or "our").

Please read these Terms carefully before using the Service. By creating an account, downloading the app, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, please do not use Auroli.

Eligibility

Age Requirement

You must be at least 13 years of age. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Account Registration

You must create an account providing your name and email. You are responsible for keeping credentials secure and for all activity under your account. Notify us immediately of unauthorized access.

Description of the Service

Auroli is an AI-powered wellbeing companion designed to help you build healthy routines, track nutrition, monitor sleep, and prevent burnout. Features include:

Synchronization with wearable devices
AI-generated daily plans
Biometric and mood insights
Contextual smart nudges
Habit-tracking tools

Health and Wellness Disclaimer

Not Medical Advice: Auroli is a wellness tool, not a medical product. Insights and notifications are for informational and motivational purposes only and do not constitute medical advice or treatment.

Consult a Professional: Always consult a qualified healthcare professional before making significant changes to your diet, exercise, or health behavior, especially with pre-existing conditions.

IN CASE OF EMERGENCY: Auroli is not designed to respond to emergencies. Call local emergency services immediately.

Beta Program

The Service is provided on an "as-is" and "as-available" basis for testing purposes. Participants acknowledge features may change without notice, bugs may occur, and data may be lost.

Features may be incomplete or changed without notice.
The Service may contain bugs or errors.
Data and account information may be reset during beta.
Feedback may be used without compensation.

Use of the Service

5.1 Permitted Use

You agree to use Auroli only for lawful, personal, non-commercial purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

Use the Service in any way that violates applicable local, national, or international law or regulation;
Attempt to gain unauthorized access to any part of the Service or its underlying systems;
Reverse engineer, decompile, or disassemble any portion of the Service;
Scrape, harvest, or collect data from the Service by automated means;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Upload or transmit viruses, malware, or any other malicious code;
Use the Service to build a competing product or service; or
Interfere with or disrupt the integrity or performance of the Service.

Third-Party Integrations

Auroli integrates with third-party platforms (Apple Health, Garmin, etc.). Use is governed by their terms. Disconnecting stops new syncing but does not automatically delete previously collected data.

Intellectual Property

All content, software, AI models, and design are owned by Auroli Inc. You are granted a limited, non-exclusive, revocable license for personal wellbeing purposes.

Privacy and Data Protection

We process special category data (HRV, sleep, nutrition) under GDPR Article 9 with your explicit consent for personalized insights. You may withdraw consent at any time via app settings.

Your GDPR Rights

If in the EEA/UK, you have rights to access, rectification, erasure, restriction, portability, and objection. Contact us or your national authority (Lithuania: State Data Protection Inspectorate).

Subscriptions and Payments

Future paid plans will clearly disclose fees. Subscriptions automatically renew unless cancelled. EU consumers have a 14-day right of withdrawal from the date of purchase.

Termination

You may delete your account at any time (data wiped within 90 days). We may terminate access if we believe you have violated these Terms or engaged in fraudulent activity.

Disclaimers

THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICE WILL BE ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUROLI IS NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT PAID IN THE LAST 12 MONTHS OR €50.

Indemnification

You agree to defend and hold harmless Auroli Inc. from claims, damages, and expenses arising from your use of the service or violation of these terms.

Governing Law

Governed by the laws of our incorporation jurisdiction. EU consumers retain rights to bring claims in their country of residence and use the Online Dispute Resolution (ODR) platform.

California Privacy Rights (CCPA/CPRA)

California residents have rights to Know, Delete, Correct, and Limit use of sensitive info. We do NOT sell or share info for cross-context behavioral advertising.

Miscellaneous

These Terms constitute the entire agreement. If any provision is unenforceable, others remain in effect. Failure to enforce a right is not a waiver. The English version controls.
